Kitchen Culture Holdings Announces New Extraordinary General Meeting Date

Shareholders Seek Board Reshuffle at November 25th EGM

Relevant Shareholders of Kitchen Culture Holdings Ltd. have announced that the company will hold a new Extraordinary General Meeting (EGM) on November 25, 2022, at 9:00 AM. The meeting will be conducted via a Live EGM Webcast and Live EGM Audio Feed, replacing the need for a physical gathering.

The EGM, called pursuant to Section 177 of the Companies Act, will address the removal of five current board members and the appointment of five new directors, as requested by Relevant Shareholders. The full notice of the EGM was published on November 3, 2022, in The Business Times. Shareholders who wish to participate must pre-register by November 22, 2022, and authenticated shareholders will receive login instructions for accessing the webcast and audio feed.

The new EGM date comes after concerns were raised about the company’s failure to properly publish the EGM notice according to SGX Listing Manual rules, which led to the postponement. Relevant Shareholders emphasized their commitment to ensuring all shareholders have the opportunity to attend or vote by proxy at the upcoming meeting.

Shareholders can submit comments or questions in advance and will have the option to vote remotely during the meeting. The Relevant Shareholders, who collectively hold more than 10% of the company’s issued share capital, expressed confidence that the proposed new board will provide stronger leadership and strategic direction for the company moving forward.
